THIS PARTICIPATION AGREEMENT (this "Agreement" or the "Participation Agreement") is made as of the day of , 20 , (the "Effective Date"), by and among Southern California Public Power Authority, a public entity and joint powers authority formed and organized pursuant to the California Joint Exercise of Powers Act (California Government Code Section 6500 et seq.)("SCPPA"), and EnviroMission (USA), Inc., a corporation organized and existing under the laws of the State of Delaware ("EnviroMission"). Each of SCPPA and EnviroMission is referred to individually in this Agreement as a "Participant" and collectively, together with any additional parties added pursuant to the terms of this Agreement, are referred to in this Agreement as "Participants".
