This AMENDED AND RESTATED ADMINISTRATIVE AND INVESTOR SERVICES AGREEMENT (the “Agreement”) is made as of July 30, 2010, by and between SkyBridge Capital II, LLC, a Delaware limited liability company (the “Administrator” or “CAI”), and SkyBridge Multi-Adviser Hedge Fund Portfolios LLC, a Delaware limited liability company (the “Company”). Capitalized terms not defined herein have the meanings attributed to them in the Limited Liability Company Agreement of the Company, as amended (the “LLC Agreement”).

THIS AMENDED AND RESTATED AGREEMENT is made as of August 15, 2011 by and between each investment entity listed on Appendix A hereto, as amended from time to time (each, a “Fund” and collectively the “Funds”), and BNY MELLON INVESTMENT SERVICING (US) INC., a Massachusetts corporation (the “Administrator” or “BNYM”).
