Deckers Outdoor Corporation (the “Company”) has on the Grant Date specified above (the “Grant Date”) granted to (“Grantee”), in order to provide an incentive for Grantee to remain a Service Provider of the Company and to exert added effort towards its growth and success, an award (the “Award”) to receive that number of restricted stock units (the “Restricted Stock Units”) indicated above, each Restricted Stock Unit representing the right to receive one share of the Company’s Common Stock, $0.01 par value per share (the “Common Stock”), subject to certain restrictions and on the terms and conditions contained in this Award and the Deckers Outdoor Corporation 2006 Stock Incentive Plan (the “Plan”). Any terms not defined herein shall have the meaning set forth in the Plan.
