CREDIT AGREEMENT dated as of August 15, 2012 (the “Agreement”), among VALMONT INDUSTRIES, INC., a Delaware corporation (the “Company”), VALMONT INDUSTRIES HOLLAND B.V., a private company with limited liability, with corporate seat in Eindhoven, the Netherlands (“Valmont Holland”), VALMONT GROUP PTY LTD., a company incorporated under the laws of Queensland, Australia (“Valmont Australia”), and the other Subsidiaries of the Company who become party to this Agreement pursuant to Section 5.10 hereof, the LENDERS party hereto, and JPMORGAN CHASE BANK, N.A., as Administrative Agent.
