This Registration Agreement (this “Agreement”), dated April 28, 2015, is entered into by and among Level 3 Financing Inc., a Delaware corporation (the “Issuer”), Level 3 Communications, Inc., a Delaware corporation (the “Parent”) and Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC, Barclays Capital Inc., Goldman, Sachs & Co., Credit Suisse Securities (USA) LLC and J.P. Morgan Securities LLC (the “Purchasers”). The Issuer proposes to issue and sell to the Purchasers, upon the terms set forth in a purchase agreement dated April 14, 2015 (the “Purchase Agreement”), $800,000,000 aggregate principal amount of its 5.375% Senior Notes due 2025 (the “Original Notes”) (such sale, the “Initial Placement”), to be guaranteed on an unsecured unsubordinated basis by Level 3 Communications, Inc., the direct parent company of the Issuer (“Parent”).
