This REGISTRATION RIGHTS AGREEMENT dated November 26, 2013 (this “Agreement”) is entered into by and among Calumet Specialty Products Partners, L.P., a Delaware limited partnership (the “Partnership”), Calumet Finance Corp., a Delaware corporation (“Calumet Finance,” and together with the Partnership, the “Issuers”), the guarantors listed on the signature pages hereto (the “Guarantors”), and Merrill Lynch, Pierce, Fenner & Smith, Incorporated (“Merrill Lynch”), Barclays Capital Inc., RBC Capital Markets, LLC, J.P. Morgan Securities LLC, Wells Fargo Securities LLC, Deutsche Bank Securities Inc. and Goldman, Sachs & Co. (collectively, the “Initial Purchasers”).
