364-DAY DELAYED DRAW TERM LOAN CREDIT AGREEMENT, dated as of November 29, 2023 (this “Agreement”), among GENERAL MOTORS COMPANY, a Delaware corporation (the “Company”), the several banks and other financial institutions or entities from time to time parties hereto, as lenders (collectively, the “Lenders”), BANK OF AMERICA, N.A.
