This TERM LOAN AGREEMENT (“Agreement”) is entered into as of December 18, 2012, among (i) POTLATCH CORPORATION, a Delaware corporation and a REIT (“Potlatch” or the “Company”) and (ii) POTLATCH FOREST HOLDINGS, INC., a Delaware corporation (“Potlatch Forest”), (collectively, the “Borrowers” and each individually, a “Borrower”), (iii) certain Material Subsidiaries of the Borrowers from time to time party hereto as guarantors (the “Guarantors”), (iv) each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and (v) NORTHWEST FARM CREDIT SERVICES (“NWFCS”), PCA, as Administrative Agent.
