Actual Liquidity definition

Actual Liquidity means, as of any date, the sum, without duplication of (x) the aggregate Dollar equivalent of all unrestricted cash and Cash Equivalents held by the Borrower and its Subsidiaries at such time (including foreign cash and Cash Equivalents) and (y) the amount, without duplication, of any outstanding Withdrawal Notice together with any remaining proceeds of the New Money Loans on deposit in the Loan Proceeds Account that are available to be drawn. As used herein, the term “unrestricted” as it relates to such cash or Cash Equivalents excludes any such amounts representing deposits, escrows, sinking fund payments or other amounts that are otherwise encumbered (other than pursuant to the Loan Documents), held in trust, or dedicated for a particular use and/or which would not be characterized as “unrestricted cash” on the financial statements of such entities in accordance with IFRS, and in any event, shall not include the aggregate principal amount of the New Money Loans then-remaining in the Loan Proceeds Account that are not available to be drawn.
Actual Liquidity means as of 5:00 pm (Central Time) on any date of determination, the unrestricted cash and cash equivalents of the Loan Parties consisting of collected funds on deposit in all deposit accounts maintained in the United States and Canada and subject to a tri-party deposit account control agreement in favor of Administrative Agent less the amount of all checks that have been distributed by the Loan Parties but not yet cashed.
Actual Liquidity means, as of any date of determination, as the context requires, for the Debtors on a nonconsolidated basis, the actual amounts as of such date that correspond to the line item under the heading “Ending Cash Balance” for such date in the Approved DIP Budget.
