Annual Minimum definition

Annual Minimum will have the meaning specified in Section 2.1;

Annual Minimum means the aggregate Service Charges invoiced by CPA Global to Customer in each Contract Year; Data means the information required by CPA Global in order to identify, process and administer the Renewal of the Rights; Charges means all fees and charges made by CPA Global under this Agreement including without limitation the Service Charge, Official Charge and Country Charge, as more particularly defined in Clause 4; Contract Year means successive periods of twelve months from and including the Start Pay Date; Instructions mean the communication by the Customer (or its authorized agent) to CPA Global in accordance with Clause 3.1 and the Schedules attached to this Agreement either to proceed with a Renewal or not to proceed with a Renewal; Renewal(s) means the process by which CPA Global communicates and makes payment of amounts (and where applicable submits relevant Data and/or formality documents) to a third party in order to effect the renewal of a Right of the Customer in a jurisdiction;

Annual Minimum means the lesser of (i) [***]% of the Annual Threshold or (ii) the Annual Threshold minus [***] units of Product (the equivalent of [***] full [***] kg batch at the theoretical yield); provided, however, that from and after the timely cure of a Supply Failure described in subsections (i) and (ii) of Section 2.11 and OptiNose’s resumption of ordering from CPL as described in Section 2.11, the applicable percentage in subsection (i) above shall be reduced by [***]% (for example, [***]% shall be reduced to [***]% upon the first instance, and then to [***]% upon the next instance), provided such percentage shall not go below [***]%.

Annual Minimum has the meaning set forth in Section 8(a).

Annual Minimum. The Customer's Usage Charges must equal or exceed the following amounts: Contract Year 1: $1,500,000 Contract Year 2: The greater of (a) $1,500,000 or (b) 90% of Customer’s Usage Charges during Contract year 1 Contract Year 3: The greater of (a) $1,500,000 or (b) 90% of Customer’s Usage Charges during Contract Year 2 Commencing on the 6th Amendment Effective Date and for the remainder of the Term, Customer’s new Annual Minimum will be $1,200,000 in Total Service Charges, or a pro rata portion thereof for any partial contract year. Commencing on the 9th Amendment Effective Date and for the remainder of the Term, Customer’s new Annual Minimum will be as follows in Total Service Charges, or a pro rata portion thereof for any partial contract year.

Annual Minimum means the minimum aggregate Service Charges to be invoiced by CPA Global to Customer in each Contract Year. If the Annual Minimum is not satisfied by the actual Service Charges invoiced each Contract Year, CPA Global shall invoice and Customer shall pay the difference of the actual Service Charges invoiced and the Annual Minimum; Data means the information required by CPA Global in order to identify, process and administer the Renewal of the Rights; Charges means all fees and charges made by CPA Global under this Agreement including without limitation the Service Charge, Official Charge and Country Charge, as more particularly defined in Clause 4; Contract Year means successive periods of twelve months from and including the Start Pay Date; Instructions mean the communication by the Customer (or its authorized agent) to CPA Global in accordance with Clause 3.1 and the Schedules attached to this Agreement either to proceed with a Renewal or not to proceed with a Renewal; Renewal(s) means the process by which CPA Global communicates and makes payment of amounts (and where applicable submits relevant Data and/or formality documents) to a third party in order to effect the renewal of a Right of the Customer in a jurisdiction;
