Articles of Incorporation of the Surviving Corporation. The Articles of Incorporation of Company as in effect immediately prior to the Effective Time will be the Articles of Incorporation of the Surviving Corporation until thereafter amended in accordance with applicable law.
Articles of Incorporation of the Surviving Corporation. The articles of incorporation of the Company in effect immediately prior to the Effective Time shall be the articles of incorporation of the Surviving Corporation (the “Charter”), until thereafter duly amended, restated or amended and restated as provided therein and/or by applicable Law.
Articles of Incorporation of the Surviving Corporation. The Articles of Incorporation of Merger Subsidiary, as in effect immediately prior to the Effective Time, shall be the Articles of Incorporation of the Surviving Corporation until thereafter amended in accordance with applicable law; provided, however, that upon the Effective Time, Article 1 of the Articles of Incorporation of the Surviving Corporation shall be amended to read in its entirety as follows: "The name of the corporation shall be Medtronic Physio-Control, Inc."
Articles of Incorporation of the Surviving Corporation. At the Effective Time the Articles of Incorporation of the Company will be the Articles of Incorporation of the Surviving Corporation.
Articles of Incorporation of the Surviving Corporation. The Articles of Incorporation of Acquisition Sub shall be the Articles of Incorporation of the Surviving Corporation.
Articles of Incorporation of the Surviving Corporation. The articles of incorporation of Merger Sub as set forth in the Agreement of Merger, shall become the articles of incorporation of the Surviving Corporation after the Effective Time, until thereafter amended as provided by Law 32 and such articles of incorporation.
Articles of Incorporation of the Surviving Corporation. The Articles of Incorporation of Merger Sub as in effect immediately prior to the Effective Time shall be the Certificate of Incorporation of the Surviving Corporation at the Effective Time until duly amended in accordance with applicable law.
Articles of Incorporation of the Surviving Corporation. At the Effective Time, the Articles of Incorporation of the Company as in effect immediately prior to the Effective Time shall be amended and restated in its entirety in the Merger to the form of the Articles of Incorporation of Merger Sub immediately prior to the Effective Time (except that the name of the Surviving Corporation shall be "The Pep Boys – Manny, Moe and Xxxx"), and, as so amended, shall be the Articles of Incorporation of the Surviving Corporation.
Articles of Incorporation of the Surviving Corporation. The articles of incorporation of the Surviving Corporation shall be the articles of incorporation of Parent as in effect on the date hereof without change.
Articles of Incorporation of the Surviving Corporation. At the Effective Time, the Articles of Incorporation of Merger Sub shall be the Articles of Incorporation of the Surviving Corporation; provided, however, that Article I thereof shall be amended to read as follows: "The name of this corporation is Xxxxxxx.xxx Inc."
