Bylaws and Resolutions. For each Credit Party, (a) such Person's bylaws, together with all amendments thereto and (b) resolutions of such Person's Board of Directors, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.
Bylaws and Resolutions. For each Credit Party, (a) such Person’s bylaws, operating agreement, limited liability company agreement or limited partnership agreement, as applicable, together with all amendments thereto and (b) resolutions of such Person’s members or board of directors, as the case may be, and, to the extent required under applicable law, stockholders, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate secretary or an assistant secretary, managing member, manager or equivalent senior officer, as applicable, as being in full force and effect without any modification or amendment.

For each Borrower, (a) such Person’s bylaws, together with all amendments thereto and (b) resolutions of such Person’s Board of Directors or other equivalent body or committee thereof approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, in form and substance reasonably acceptable to Administrative Agent and Co-Syndication Agents, (i) such Person's bylaws, together with all amendments thereto and (ii) resolutions of such Person's Board of Directors and stockholders, if required, approving and authorizing the execution, delivery and performance of the Credit Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Transaction Party (other than XCC and the JV), (i) such Person’s bylaws, operating agreement or limited partnership agreement, as applicable, together with all amendments thereto and (ii) resolutions of such Person’s Board of Directors (or equivalent managers) and Stockholders, if required, approving and authorizing the execution, delivery and performance of the Loan Documents and the other Related Transaction Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Effective Date by such Person’s corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment;

For Holdings, Borrower and each Domestic Subsidiary, (a) its bylaws, operating agreement, limited partnership agreement or similar governing document together with all amendments thereto and (b) resolutions or unanimous written consent of such Person's board of directors, managers or other similar governing body approving and authorizing the execution, delivery and performance of the Loan Documents and Related Transactions Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person's corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Credit Party, (a) such Person’s bylaws, operating agreement or partnership agreement (other than the limited partnership agreement of Blockbuster Procurement LP, a Delaware limited partnership), together with all amendments thereto and (b) resolutions of such Person’s Board of Directors or stockholders, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Closing Date by such Person’s corporate secretary or an assistant secretary as being in full force and effect without any modification or amendment.

For each Original Credit Party, (a) such Person's bylaws and all charter documents including partnership and/or operating agreements, together with all amendments thereto and (b) resolutions of such Person's board of directors and partners, members and stockholders, as applicable, approving and authorizing the execution, delivery and performance of the Loan Documents required to be executed and delivered on the Second Restatement Execution Date to which such Person is a party and the transactions to be consummated in connection therewith, each certified as of the Second Restatement Execution Date by such Person's corporate or organizational secretary or an assistant secretary as being in full force and effect without any modification or amendment.
