Class A Special Shares definition

Class A Special Shares means the Class A Special Shares in the capital of the Company.
Class A Special Shares means the Class A special shares in the capital of Concordia to be issued to GSO having the rights and terms as contemplated by the Governance Terms;
Class A Special Shares issuable upon conversion of the Preferred Shares (collectively, the “Conversion Shares”) and to consummate the Amalgamation. The Company has furnished the Purchaser with copies of the Company’s articles of incorporation, as amended to date (the “Existing Articles”), and the Company’s bylaws, as amended to date (the “Bylaws”). The Existing Articles read in their entirety as set forth in Exhibit D-1 to this Agreement and, upon filing of the Articles of Amendment, shall read in their entirety as set forth in Exhibit D-2 to this Agreement (the “Articles”). The articles of amalgamation of the Company immediately following the Amalgamation shall read in their entirety as set forth in Exhibit D-3 to this Agreement (the “Post-Amalgamation Articles”) and the bylaws of the Company immediately following the Amalgamation shall be the Bylaws.

Examples of Class A Special Shares in a sentence

  • The removal of one or more Class A Directors by the holders of the Class A Special Shares may be conducted by a resolution in writing signed by all the holders of the Class A Special Shares, to be effective on the date specified in such resolution, or by the majority of the votes cast in person or by proxy at a duly constituted meeting of the holders of the Class A Special Shares.

  • Any variation of the rights attaching to the Class C Special Shares shall be deemed to constitute a variation of the rights attaching to the Class A Special Shares and a variation of the rights attaching to the Class B Special Shares for the purposes of Article 12.

  • The election of the Class A Directors may be conducted by a resolution in writing signed by all the holders of the Class A Special Shares, to be effective on the date of the Company’s annual meeting of voting shareholders or on such other date as specified in such resolution, or at a meeting of the holders of the Class A Special Shares.

  • The following provisions shall apply to savings accounts: 17.1 Interest at the rates of savings account posted from time to time without prior notice in the lobby of the Bank and/or advertised in the press is allowed on the daily balance.

  • The Class A Special Shares shall have attached thereto, as a class, the rights, privileges, restrictions and conditions set out in this Article 6.

Class A Special Shares shall have the meaning set forth in the Restated Company Agreement.
