Examples of Closing Cash in a sentence
As soon as reasonably practicable, but no later than sixty (60) days after the Closing, Buyer shall prepare and deliver to Seller a statement (the “Closing Statement”) setting forth Buyer’s good faith determination of the actual amounts of the Closing Debt, Closing Cash, Closing Working Capital, and any Financing Adjustment, together with a calculation of the Closing Payment based on such determination and reasonable supporting documentation.
Any payment required by Section 1.3 shall be made by wire transfer of immediately available funds and shall be treated as a post-Closing increase or decrease, as applicable, to the Closing Cash Payment.
Purchaser and the Sellers’ Representative shall cooperate with the Independent Accountant in all respects, including providing the Independent Accountant with appropriate supporting documentation used in preparation and review of their calculations of the Closing Net Working Capital and Closing Cash in the Closing Statement.
The parties hereto hereby agree that any right of Windstream to specifically enforce Uniti’s obligation to consummate the Closing shall include the right to cause Uniti to use all borrowing capacity and available cash to pay the Closing Cash Payment.
The Members hereby acknowledge and agree that the payment of the Closing Cash as set forth on the Payment Schedule shall fully satisfy the Purchaser’s obligations hereunder with respect to the payment of the Closing Cash.
