As of the Effective Date and the Commercial Operation Date, Seller has not made any changes in its ownership, control or management that would cause the Facility to fail to satisfy the eligibility requirements for entering into the standard power purchase agreement or receipt of standard pricing under Utility’s Schedule 201, as applicable.
