Competitor of the Company definition

Competitor of the Company means any person or entity who is, or is actively planning to engage in, the design, manufacture, sale, distribution or servicing of any products or services that are sold in competition with any of the products or services of the Company and its Affiliates at any time while you are employed by such person or entity.
Competitor of the Company means any entity a majority of whose business involves the ownership and operation of retail drug stores, provided, however, that such term shall not include any entity a majority of whose business involves the business of the retail sale or wholesale distribution of food and related products (including, without limitation, health and beauty care and general merchandise products and all other products sold to the supermarket industry), regardless of whether such entity sells certain products of a type found in retail drug stores and regardless of whether one or more divisions or subsidiaries of such entity, standing alone, would otherwise be a Competitor of the Company. Nothing herein, however, shall prohibit the Executive from acquiring or holding not more than five percent of any class of publicly traded securities of any such business; provided that such securities entitle the Executive to no more than five percent of the total outstanding votes entitled to be cast by security holders of such business in matters on which such security holders are entitled to vote. In the event of a breach or any threatened breach of the Section 8, Executive agrees that, in addition to any other remedy available to the Company at law or in equity, the Company shall be entitled to injunctive relief in a court of appropriate jurisdiction to remedy any breach or prevent any threatened breach. Executive further acknowledges that damages would be inadequate and insufficient to compensate the Company for any breach of this Section 8.
Competitor of the Company means a person or entity that poses a competitive threat to the Company’s business or is engaged in the same or a substantially similar business as the Company, as determined by the Company’s board of directors.

  • The Purchaser shall be entitled to, on and from the Agreement Date, freely transfer its Securities to its Affiliates and third parties (“Purchaser Transferee”) without the prior consent of the Company, the Seller and/or the Promoters, provided that, subject to the terms of this Agreement, the Purchaser or the Purchaser Transferee shall not be permitted to undertake any transfer to a Competitor of the Company until the Extended Exit Date (except as provided for in Clause 5.1.3(f)).

  • If a Shareholder wishes to transfer his shares to a "Competitor" of the Company and the non-transferring Shareholders shall have failed to exercise their Preemptive Right, such Shareholder may only transfer his shares if the Competitor agrees to purchase all of the shares held by the non-transferring Shareholders on the same terms and conditions as apply to the purchase of the shares held by the transferring Shareholder.

  • During the period of Executive’s employment hereunder and for a period of twelve (12) months after the date of termination of Executive’s employment hereunder, Executive shall not, directly or indirectly, influence or attempt to influence customers or suppliers of the Company to divert any of their business to any Competitor of the Company.

  • The Executive agrees that for two (2) years after any termination of his employment with the Company, he/she will not, in the "Restricted Territory" (as defined in the next sentence), either directly or indirectly, alone or in conjunction with any other party, (A) accept or enter into a Competitive Position with a Competitor of the Company, or (B) take any action in furtherance of or in conjunction with a Competitive Position with a Competitor of the Company.


More Definitions of Competitor of the Company

Competitor of the Company means a competitor of the Company, as reasonably determined by the Board. For the sake of clarity, an Investor that is a venture capital fund (including, without limitation, Novartis Bioventures Ltd. (“NVF”), Amgen Ventures LLC (“Amgen Ventures”), RA Capital Healthcare Fund, L.P. (“RAC”), Xxxxxxxxx Partners LLC — Series A (“Xxxxxxxxx”) Novo A/S (“Novo”), Lightstone Ventures, L.P. and Lightstone Ventures (A), L.P. (collectively, “Lightstone”), Limulus Venture Partners II Limited Partnership (“Limulus”) or Rock Springs Capital Master Fund LP (“Rock Springs”)) shall not be deemed to be a competitor of the Company for purposes of this definition solely because one or more of its portfolio companies is a competitor of the Company. Further for the sake of clarity, subject to Section 3.5, (a) NVF shall not be deemed to be a Competitor of the Company for purposes of this definition solely because of any activities undertaken by Novartis AG or any of its Affiliates other than Novartis Bioventures Ltd., (b) Amgen Ventures shall not be deemed to be a Competitor of the Company for purposes of this definition solely because of any activities undertaken by Amgen Inc. or any of its Affiliates other than Amgen Ventures and (c) without limiting the effects of this Section 1.4, none of RAC, Blackwell, Novo, Lightstone, Limulus or Rock Springs shall be deemed to be a Competitor of the Company for purposes of this definition solely because of any activities undertaken by their respective Affiliates or entities in which such Investors make an investment.
Competitor of the Company means any Person that is engaged in the development, production, marketing and distribution of Base Oils, Additives or Lubricants for the Lubricants Market.
Competitor of the Company means any Person (including a holding company, but not including any private equity fund, hedge fund, alternative investment vehicle or other similar entity, or any of such entities’ Affiliates, which may control such Person) who is a competitor of the Company with substantial revenue/EBITDA from helicopter flight operations or helicopter maintenance, repair and overhaul operations, in each case primarily in support of the offshore oil and gas operations.
Competitor of the Company means any entity that engages in the business of human therapeutic drug development, research, distribution or related business (the "Business"), provided that the Board of Directors of the Company may in their reasonable and good faith discretion exempt any individual entity from such definition through board action that defines the duration and scope of such exemption, and provided further that no Investor that is a financial investor shall be deemed to be a competitor of the Company due to its having made an investment in, or due to the service of one or more of its principals or employees on the board of directors of, a competitor of the Company.
Competitor of the Company means an Entity in India or abroad that is engaged in the business substantially similar to the business of the Company. Business of an Entity shall be deemed to be substantially similar to the business of the Company if turnover or profit of such Entity from the business activity(ies) in which the Company is engaged, exceeds 33% of its total turnover or profit (in any of the last three years).
Competitor of the Company means any Person, including those listed on Schedule C (as such Schedule may be amended from time to time in the good faith, reasonable determination of the Board), that (a) the Board, in the good faith exercise of its fiduciary duties, reasonably determines is a competitor of the Company or any of its Subsidiaries or (b) is materially Affiliated with such a competitor (including a holding company, but not including any lender, private equity fund, hedge fund, alternative investment vehicle or other similar entity, or any of such entities’ Affiliates, which may own Securities in such Person, so long as such entity does not constitute an Affiliate of such Person).
Competitor of the Company means any business, whether in corporate, proprietorship, partnership or other form, which directly or indirectly sells, trades, manufactures, distributes or develops (for manufacture, sale or distribution) products and/or services, that are the same, or substantially similar to, or compete with, in the Same Geographic Marketplace with, the products and/or services sold, traded, manufactured, distributed or developed (for manufacture, sale or distribution) by the subsidiary or business unit(s) of the Company for which the Executive during the last three (3) years of employment with the Company: (i) was responsible on behalf of the Company or (ii) was directly involved in the management of and had access to Confidential Information.
