Custody Investments definition

Custody Investments means any of the following of which you are the legal or beneficial owner and that Jarden may in accordance with your instructions or those of an Authorised Person from time to time hold on your behalf in accordance with this Agreement:
Custody Investments means those Investments that are required to be held in custody by the Depositary pursuant to Regulation 22(8)(a) of the Regulations.
Custody Investments means Financial Products, and any other type of assets, of which you are the owner, that a Nominee agrees to hold (or to have held by an Agent) on your behalf in accordance with this Client Agreement.

  • A6.5 Holding or arranging custody with third party agents A6.5.1 (1) Before an Authorised Firm holds a Safe Custody Investment with a Third Party Agent or Arranges Custody through a Third Party Agent, it must undertake an assessment of that Third Party Agent and have concluded on reasonable grounds that the Third Party Agent is suitable to hold those Safe Custody Investments.

  • A6.5.2 An Authorised Firm must be able to demonstrate to the DFSA’s satisfaction the grounds upon which the Authorised Firm considers the Third Party Agent to be suitable to hold Safe Custody Investments.

  • You are solely responsible for all taxes or similar liabilities levied on or arising out of any Custody Investments and any payment due to you.

  • The Nominee (or any Agent) will receive all documentation, reports, notices, actions, proxies and communications (“Documentation”) that affect your Custody Investments.

  • Any consideration, income (including but not limited to dividends and distributions of any kind) and principal (including the proceeds of any disposal) in respect of any Custody Investments, will be received, held and treated in accordance with the terms of this Agreement and the NZX Rules governing the segregation of client money.

  • For the avoidance of doubt, the Safe Custody and Nominee Service shall not be deemed to terminate as a result of any change in the Custody Investments held from time to time or if no Custody Investments are held.

  • A6.7 Client disclosure A6.7.1 (1) Before an Authorised Firm Arranges Custody for a Client it must disclose to that Client, if applicable, that the Client’s Safe Custody Investments may be held in a jurisdiction outside the DIFC and the market practices, insolvency and legal regime applicable in that jurisdiction may differ from the regime applicable in the DIFC.

  • Dividends from Custody Investments held pursuant to clause 9 can be deposited directly into the Cash Management Account(s).

  • A statement of Custody Investments will be sent to you at least every six months and otherwise in accordance and as required by applicable law and the NZX Rules.

  • Your Custody Investments may (but do not have to be) be held in a pooled account.


More Definitions of Custody Investments

Custody Investments means those Investments (excluding cash) that are required to be held in custody by the Trustee pursuant to Regulation 22 (8)(a) of the AIFMD Regulations and Article 88 of the Delegated Regulation.
Custody Investments and “Investments” means any of the following of which you are the legal or beneficial owner and that SSP may in accordance with your instructions or those of an Authorised Person from time to time hold on your behalf in accordance with this Appendix:

Related to Custody Investments

  • Authorized Investments means: any investment which may be authorized by the Commission but does not include restricted investments as specified in the Offering Documents from time to time.

  • Equity Investments shall have the meaning provided in the preamble to this Agreement.

  • Special Purpose Investment Personnel means each SEI Access Person who, in connection with his or her regular functions (including, where appropriate, attendance at Board meetings and other meetings at which the official business of a Trust or any Fund thereof is discussed or carried on), obtains contemporaneous information regarding the purchase or sale of a Security by a Fund. Special Purpose Investment Personnel shall occupy this status only with respect to those Securities as to which he or she obtains such contemporaneous information.

  • PIPE Investment has the meaning specified in the Recitals hereto.

  • Liquid Investments means:

  • Liquidity Account Investments means Deposit Securities or any other security or investment owned by the Fund that is rated not less than A3 by Moody’s, A- by Standard & Poor’s, A- by Fitch or an equivalent rating by any other NRSRO (or any such rating’s future equivalent).

  • Eligible Investments Any one or more of the obligations and securities listed below which investment provides for a date of maturity not later than the Determination Date in each month:

  • Mezzanine Investments means debt Securities (including convertible debt Securities (other than the “in-the-money” equity component thereof)) and Preferred Stock in each case (a) issued by public or private issuers, (b) issued without registration under the Securities Act, (c) not issued pursuant to Rule 144A under the Securities Act (or any successor provision thereunder), (d) that are not Cash Equivalents and (e) contractually subordinated in right of payment to other debt of the same issuer.

  • Investments as defined in Section 7.8.

  • Investment Vehicles means any investment company or pooled investment fund, including, but not limited to, mutual fund families, exchange-traded funds, fund of funds and hedge funds, in which a Defendant has or may have a direct or indirect interest, or as to which its affiliates may act as an investment advisor, but of which a Defendant or its respective affiliates is not a majority owner or does not hold a majority beneficial interest.

  • Authorised Investments means investments authorised by the instrument, if any, creating the trust for the investment of money subject to the trust, or by law;

  • Receivables Net Investment means the aggregate cash amount paid by the lenders or purchasers under any Permitted Receivables Financing in connection with their purchase of, or the making of loans secured by, Receivables Assets or interests therein, as the same may be reduced from time to time by collections with respect to such Receivables Assets or otherwise in accordance with the terms of the Permitted Receivables Documents (but excluding any such collections used to make payments of items included in clause (c) of the definition of Interest Expense); provided, however, that if all or any part of such Receivables Net Investment shall have been reduced by application of any distribution and thereafter such distribution is rescinded or must otherwise be returned for any reason, such Receivables Net Investment shall be increased by the amount of such distribution, all as though such distribution had not been made.

  • Direct Investments means assets which are not Underlying Funds.

  • Eligible Investment means any investment that at the time of its acquisition is one or more of the following:

  • Equity Investment means (i) an Equity Security; and (ii) an ownership interest in any company or other entity, any membership interest that includes a voting right in any company or other entity, any interest in real estate; and any investment or transaction which in substance falls into any of these categories even though it may be structured as some other form of investment or transaction.

  • Authorized Investment means any type of instrument, security, participation or other property in which Cash Collateral may be invested or reinvested, as described in Section 5(f) hereof and Appendix 4 hereto (and as such Appendix may be amended from time to time by written agreement of the parties).

  • Alternative Investments means investments in the said State which are within the ability and competence of the Company or of corporations which are related to the Company for the purposes of the Companies (Western Australia) Code and which are approved by the Minister from time to time as alternative investments for the purpose of this Agreement (which approval shall not be unreasonably withheld in the case of an investment which would add value or facilitate the addition of value, beyond mining, to the mineral resources of the said State);”;

  • Investment Accounts means the Collateral Account, Securities Accounts, Commodities Accounts and Deposit Accounts.

  • Desjardins Investments means Desjardins Investments Inc. “DFSF” means Desjardins Financial Services Firm Inc. “DSFI” means Desjardins Financial Security Investments Inc. “DSI” means Desjardins Securities Inc.

  • Canadian Investment Manager designation means the designation earned through the Canadian investment manager program prepared and administered by CSI Global Education Inc. and so named on the day this Instrument comes into force, and every program that preceded that program, or succeeded that program, that does not have a significantly reduced scope and content when compared to the scope and content of the first-mentioned program;

  • Permitted Investments means:

  • Acquisition Fund means any company formed with the intent to offer securities to the public and use the proceeds to consummate one or more Business Combinations which are unspecified at the time of the securities offering.

  • Principal Accumulation Investment Proceeds means, with respect to each Transfer Date, the investment earnings on funds in the Principal Accumulation Account (net of investment expenses and losses) for the period from and including the immediately preceding Transfer Date to but excluding such Transfer Date.

  • Minority Investment means any Person (other than a Subsidiary) in which the Borrower or any Restricted Subsidiary owns Capital Stock.
