Exercised Option definition

Exercised Option means the Intellia Option, exercised by Intellia under Section 5.2(c) of the Collaboration Agreement, in accordance with the Collaboration Agreement, for the Target set forth on Schedule 1.44 of this Agreement.
Exercised Option shall have the meaning designated in Section 5(a).
Exercised Option means the Regeneron Option exercised by Regeneron under Section 5.1(e) of the Collaboration Agreement, in each case, in accordance with the Collaboration Agreement, for the Target set forth on Schedule 1.44 of this Agreement.

  • The terms of each Reload Option, including the date of its expiration and the terms and conditions of its exercisability and transferability, shall be the same as the terms of the Exercised Option to which it relates, except that (i) the grant date for each Reload Option shall be the date of exercise of the Exercised Option to which it relates and (ii) the exercise price for each Reload Option shall be the Fair Market Value of the Common Stock on the grant date of the Reload Option.

More Definitions of Exercised Option

Exercised Option means the Regeneron Option exercised by Regeneron under Section 5.1(e) of the Collaboration Agreement in accordance with the Collaboration Agreement, for the Initial Co/Co Target, as such term is defined in the Collaboration Agreement.
Exercised Option. ’ means an Option for which an Optionholder has executed an applicable exercise form and in respect of which the Optionholder has, prior to the Effective Time, paid to the Company the aggregate of the exercise price of such Option and applicable Taxes in respect of such exercise;
Exercised Option means a Target Option which a Target Optionholder has elected in writing prior to the Effective Date to exercise in accordance with the terms of the Plan and in respect of which the Target Optionholder has prior to the Effective Date paid to Target the aggregate of the strike price of such Target Option and the amount of all withholdings required to be made in connection with the exercise thereof, under the Tax Act or other applicable statute;

Exercised Option means an Exercised EMI Option and/or an Exercised Unapproved Option as the case may be. “Exercised Other EMI Option” means an Other EMI Option in respect of which its holder has submitted to the Company a valid Notice of Exercise by a date agreed in writing between the Buyer and the Company prior to Closing, provided that such Notice of Exercise is not revoked prior to the Company Option being so exercised. “Exercised Unapproved Option” means the portion of an Unapproved Option in respect of which its holder has submitted to the Company a valid Notice of Exercise by a date agreed in writing between the Buyer and the Company prior to Closing and which represents a number of Company Shares equal to the Option Partial Cash Out Percentage multiplied by the number of Company Shares over which their Unapproved Option subsists (rounded up to the nearest whole share), provided that such Notice of Exercise is not revoked prior to the Company Option being so exercised. “Exercising Minor EMI Optionholder” means the holder of an Exercised Minor EMI Option. “Exercising Optionholder” means the holder of an Exercised EMI Option and/or an Exercised Unapproved Option as the case may be. “Exercising Other EMI Optionholder” means the holder of an Exercised Other EMI Option. “Exercising Unapproved Optionholder” the holder of an Exercised Unapproved Option. “Foreign Plan” means any Company Plan maintained outside of the United States. “fraud” means actual and intentional fraud under applicable Law committed by a Person with respect to the making of the representations and warranties made pursuant to Article II or Article III, as applicable. “Governmental Authority” means any foreign, United States, international, multi-national, supra-national, federal, state or local (or any subdivision thereof) governmental, regulatory or administrative agency, authority, bureau, commission, branch, department or similar body or instrumentality thereof, or any court, panel, tribunal, or judicial or arbitral body. v

Related to Exercised Option

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Director Option means an Option granted pursuant to Section 6.

  • Optioned Stock means the Common Stock subject to an Option.

  • Company Option means an option to purchase shares of Company Common Stock.

  • Employee Option means an Option granted pursuant to Section 5.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Tandem SAR means an SAR that is granted in connection with a related Option pursuant to Article 7 herein, the exercise of which shall require forfeiture of the right to purchase a Share under the related Option (and when a Share is purchased under the Option, the Tandem SAR shall similarly be canceled).

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.
