Exhibit P- shall include and insure Authority, its Board, officers, employees and agents, their successors and assigns, as additional insureds, against the areas of risk associated with this Agreement to protect against loss from liability imposed by law for damages on account of bodily injury, including death resulting therefrom, and property damage suffered or alleged to be suffered by any person or persons whatsoever resulting directly or indirectly from any act, omission or activity of Airline, or any person acting for it or under its control or direction, or any person authorized by it to use the Airline Leased Premises.

  • On the 360th day following the Closing Date, the Trustee or the Custodian on behalf of the Trustee shall deliver to the Seller and the Servicer an updated exception report showing the documents outstanding pursuant to Section 2.01(a) along with a final certification annexed hereto as Exhibit P from the previous certification issued in the form of Exhibit O.

  • On each Data Remittance Date SPS shall provide the Master Servicer with a report listing each SPS Mortgage Loan that has liquidated or been satisfied in full indicating the information, or information substantially similar to the information, contained in Exhibit P together with all supporting documentation for the prior calendar month.

  • The Administrative Agent shall have received a certificate or certificates executed by a Responsible Officer of the Borrower as of the Closing Date, as to certain financial matters, substantially in the form of Exhibit P.

  • Any disclosure in addition to the Monthly Statement that is required to be included on Form 10-D (“Additional Form 10-D Disclosure”) shall be reported by the parties set forth on Exhibit P to the Depositor and the Trust Administrator and directed and approved by the Depositor pursuant to the following paragraph, and the Trust Administrator will have no duty or liability for any failure hereunder to determine or prepare any Additional Form 10-D Disclosure, except as set forth in the next paragraph.

  • The Company and the Trust will prepare, with respect to any Notes to be sold to the Agents pursuant to this Selling Agent Agreement, a Pricing Supplement with respect to such Notes in a form previously approved by the Agents and attached as Exhibit P.

  • Within 5 calendar days after the related Determination Date, each entity that is indicated in Exhibit P as the responsible party for providing Additional Form 10-D Disclosure shall be required to provide to the Trustee and the Master Servicer, to the extent known, clearly identifying which item of Form 10-D the information relates to, any Additional Form 10-D Disclosure, if applicable.

  • The Administrative Agent (or its counsel) shall have received a certificate in substantially the form of Exhibit P from the chief financial officer (or other officer with reasonably equivalent responsibilities) of the Borrower dated as of the Closing Date and certifying as to the matters set forth therein.

  • The Servicer and the Trustee hereby acknowledge and agree that their respective assessments of compliance will cover the items identified on Exhibit P hereto as being covered by such party.
