Existing Credit Facilities definition

Existing Credit Facilities means, collectively, the Existing U.S. Credit Facilities and the Existing Foreign Credit Facility.

Existing Credit Facilities as defined in the recitals hereto.

Existing Credit Facilities has the meaning assigned to such term in Section 4.01(h).

Examples of Existing Credit Facilities in a sentence

• Parent shall pay, or shall cause one or more of its Subsidiaries to pay, the applicable payoff amounts in respect of such indebtedness on the Closing Date and Parent will cause standby letters of credit to be issued or other appropriate arrangements to made with respect to letters of credit issued under the Existing Credit Facilities so that the commitments under the Existing Credit Facilities may be terminated on the Closing Date.

• The Issuer will use the net proceeds received from the offering of the Notes, together with drawings under the Revolving Credit Facility and the amount extended under the PIK Proceeds Loan, to fully repay outstanding amounts under the Existing Credit Facilities as well as to pay related accrued interest and break costs, if any, in connection with the repayment and cancelation of such facilities.

Existing Credit Facilities means any credit facilities of the Parent or its Subsidiaries evidencing Indebtedness (other than Nonrecourse Indebtedness) of the type described in clauses (a) or (b) of the definition of Indebtedness.
