Foreign Shares definition

Foreign Shares means Shares held by the GSCP Shareholders, the Fortress Investor or the Yucaipa Shareholder, as the case may be, which are owned, directly or indirectly, by foreign persons within the meaning of Section 897(h)(4)(B) of the Code.
Foreign Shares shall have the meaning ascribed to such term in Section 1.1(c)(ii).
Foreign Shares has the meaning set forth in the Recitals.

  • The Company should also send a copy of such statement by prepaid mail to every shareholder of Overseas-Listed Foreign Shares at the address registered in the register of shareholders.

Foreign Shares means the shares of an issuer which are quoted separately as foreign shares on the official list of a stock exchange from the local shares of the issuer and identified as foreign shares by the use of the letter “F” after the stock code of the issuer as determined by the stock exchange;
