Fractional Amount definition

Fractional Amount means the cash amount equal to the difference between the value of the number of whole shares of Common Stock issued pursuant to Paragraph (4)(b)(i) and Paragraph (4)(b)(ii)(B), as the case may be, and the value of the number of whole and fractional shares of Common Stock required to be issued pursuant to Paragraph (4)(b)(i) and Paragraph (4)(b)(ii)(B), as the case may be. For purposes of this definition, the value of the shares of Common Stock shall be determined in accordance with Paragraph 4(b)(iv).

Fractional Amount means any fractional interest in one Underlying Security to which a Noteholder would be entitled pursuant to Condition 7(f)(ii).

Fractional Amount means, if “Share Delivery” is specified as being applicable in the Final Terms, any fractional interest in one Share to which a Noteholder would be entitled pursuant to Condition 6(n)(iii) as set out below.

Examples of Fractional Amount in a sentence

• The Fractional Amount shall be (x) reported as ordinary income for the calendar year in which such shares are issued and (y) remitted by the Company to the taxing authorities on your behalf to be applied to the federal, state, local and foreign withholding obligations imposed on the Company with respect to compensation paid to you during the calendar year in which such shares are issued.

• The Fractional Amount shall not be subject to the Deferral Election or Re-Deferral Election, if any, you made pursuant to Paragraph 4 and shall be (x) reported as ordinary income for the calendar year in which such shares are issued and (y) remitted by the Company to the taxing authorities on your behalf to be applied to federal, state, local and foreign withholding obligations imposed on the Company with respect to compensation paid to you during the calendar year(s) in which such shares are issued.

• The Fractional Amount shall be remitted by the Company to the taxing authorities on your behalf to be applied to federal, state, local and foreign withholding obligations imposed on the Company with respect to compensation paid to you during the calendar year in which the Vesting Date occurs.

• If those boxes are not completed, the certificate(s) in respect of the Quad/Graphics Shares and/or the check(s) for the Warrant Fractional Amount, Cash Consideration or Cancellation Amount, as the case may be, will be mailed to you at your last address as it appears on the securities register of World Color Press.

• If a Participant requests the withdrawal of all of his or her shares, the Service Provider will sell or cause the sale of any fractional share in the Participant’s account as soon as practicable after receipt of such request and will remit to such Participant the Fractional Amount.

More Definitions of Fractional Amount

Fractional Amount means, unless otherwise provided in the relevant Pricing Supplement, any fractional interest in one Share forming part of the Ratio (rounded to 4 decimal places, with 0.00005 rounded upwards).

Fractional Amount means any fractional interest in one Share to which a Securityholder would be entitled pursuant to Product Term 2(c)(iii).

Fractional Amount means the amount calculated by dividing (a) the amount of a Disbursement with respect to a Credit by (b) the number of principal installments specified in the relevant Ex-Im Bank Approval.

Fractional Amount shall have the meaning set forth in Section 1.6(c).
