Fundamental Warranties definition

Fundamental Warranties means the representations and warranties of Group Companies set forth in Sections 4.1 (Organization, Standing and Qualification), 4.2 (Capitalization and Other Particulars of the Group Companies), 4.3 (Due Authorization), 4.4 (Valid Issuance of Purchased Shares), 4.5 (No Conflicts), 4.6 (Compliance with Law; Licenses), 4.8 (Financial Statements) and 4.19 (Taxes).
Fundamental Warranties means the Sellers Fundamental Warranties, the Company Fundamental Warranties and the Purchasers Fundamental Warranties.
Fundamental Warranties means collectively, the representations and warranties given by the Warrantors under Sections 3.1 (Organization, Good Standing and Qualification), 3.2 (Capitalization and Voting Rights), 3.3 (Corporate Structure; Subsidiaries), 3.4 (Authorization), 3.5 (Valid Issuance of Shares), 3.6 (Consents; No Conflicts), 3.7 (Offering) and 3.8 (Compliance with Laws; Consents), all of which are subject to the disclosures of the Disclosure Schedule, and a “Fundamental Warranty” means any one of them.

Examples of Fundamental Warranties in a sentence

  • Each of the Purchasers Fundamental Warranties shall be true and correct as of the Closing Date.

  • Each of the Sellers Fundamental Warranties and Company Fundamental Warranties shall be true and correct as of the Closing Date.

  • Immediately before Completion, the Seller is deemed to warrant to the Purchaser that the Fundamental Warranties and the Warranties set out in Paragraphs 4.5 and 13 of Schedule 2 (Seller’s Warranties) are true and accurate by reference to the facts and circumstances existing as at Completion.

  • Each of the Sellers Fundamental Warranties shall be true and correct as of the Closing Date.

  • The Partnership Seller shall not be liable for a breach of the Fundamental Warranties in Clause 7.2(b)(v) or Clause 7.2(d) if and to the extent that such breach is directly caused by a member of the Wildstone Group having entered into a legally binding and enforceable agreement which a member of the Buyer Deal Team is actually aware of as at the date of this Agreement, having made due and careful enquiry of each other member of the Buyer Deal Team and the Warrantors.


More Definitions of Fundamental Warranties

Fundamental Warranties means the Warranties set forth in Paragraphs 1.1 to 1.4, 1.6, 2.2, 2.9, 2.10, 2.15, 3.6, 4 and 7 of Schedule 1;
Fundamental Warranties means the Warranties set out in paragraphs 1.1 to 1.4 (inclusive) of Schedule 2.
Fundamental Warranties means the representations and warranties given by the Warrantors as set forth in Sections 1 to 6, and 17 in Exhibit B.

Fundamental Warranties means the representations and warranties set forth in Sections 3.1 (Organization and Qualification of Seller), 3.2 (Due Authorization; Enforceability), 3.4 (Title to Purchased Interests), 4.1 (Organization of Buyer, LGI Member and LGI Group), 4.2 (Due Authorization; Enforceability), 4.4 (Capitalization; Valid Issuance of Buyer Common Shares; Formation Transactions) and 4.16 (Taxes).
