The Acceptable Independent Manager shall have a duty of confidentiality to each Loan Party comparable to such duty of a director or manager, as applicable, of each Loan Party; provided that the Acceptable Independent Manager shall be permitted to disclose all Meeting Materials and other information discussed in meetings of the Governing Bodies to the Agent, Lenders and their advisors subject to the confidentiality provisions of the Credit Agreement.
