HSR Approval definition

HSR Approval means expiration of all applicable waiting periods under the HSR Act (including any voluntary agreed extensions) or earlier termination thereof.

HSR Approval means the filing of a Notification and Report Form with the United States Federal Trade Commission and the United States Department of Justice under the HSR Act and the expiration or termination of any applicable waiting period thereunder, if required.

HSR Approval means (a) the receipt of any Authorization required, or (b) the expiration of any applicable waiting period, under the HSR Act.

More Definitions of HSR Approval

HSR Approval means the waiting period applicable to the Transaction under the Xxxx-Xxxxx-Xxxxxx Antitrust Improvements Act of 1976 shall have expired or been terminated, and no Governmental Entity shall have applied for an injunction or other order under the antitrust laws of the United States or any state thereof with respect to the Transaction.

HSR Approval means all applicable waiting periods under the HSR applicable to the transactions contemplated by this Agreement shall have expired or terminated.

HSR Approval has the meaning set forth in Section 8.05(c).

HSR Approval means all applicable filings pursuant to the HSR Act shall have been made and all applicable waiting periods shall have expired or been terminated.
