Initial Member definition

Initial Member has the meaning set forth in the introductory paragraph.

• Notwithstanding the foregoing, none of the FDIC, the Company and the Initial Member will have any obligation to undertake any of the duties of the Manager hereunder and or have any liability whatsoever (including for payment of any costs, expenses, indemnities or otherwise) to the Servicer, any Subservicer or any other party related to this Agreement.

• A copy of all Subservicing Agreements and JDC Agreements, as executed and delivered and all amendments thereto, will be provided to the Manager and the Initial Member.
