Examples of Initial Member in a sentence
Notwithstanding the foregoing, none of the FDIC, the Company and the Initial Member will have any obligation to undertake any of the duties of the Manager hereunder and or have any liability whatsoever (including for payment of any costs, expenses, indemnities or otherwise) to the Servicer, any Subservicer or any other party related to this Agreement.
In the event there is asserted against the Company, the Manager, the Servicer or any Subservicer any claim or action with respect to any such Pre-Existing Liabilities, the Servicer or Subservicer, as applicable, must notify the Manager and the Initial Member of such claim or action in accordance with Article IX.
The Manager has the right to require the Servicer to utilize one or more Reporting Services selected, and separately engaged by, the Initial Member (subject to the requirements in the LLC Operating Agreement) in respect of any or all reports and other information or notices required to be delivered by the Servicer (or any Subservicer or JDC Contractor) hereunder.
The Servicer must immediately notify the Manager and the Initial Member of (i) any failure or anticipated failure on its part to observe and perform any warranty, representation, covenant or agreement required to be observed and performed by it as the Servicer, and (ii) any Change of Control with respect to the Servicer.
A copy of all Subservicing Agreements and JDC Agreements, as executed and delivered and all amendments thereto, will be provided to the Manager and the Initial Member.
