Investment Securities definition

Investment Securities means any of the following:

Investment Securities means and include any of the following securities, if and to the extent the same are at the time legal investments by the Authority of the funds to be invested therein and conform to the policies set forth in any investment guidelines adopted by the Authority and in effect at the time of the making of such investment:

• Moneys and/or Investment Securities that are identified in an Authority Request delivered to the Trustee on the Closing Date shall be transferred on the Closing Date to such Funds or Account as shall be designated in such Authority Request, in the amounts and as otherwise provided in such Authority Request.

• Notwithstanding the above, if there are no Bank Bonds Outstanding, the proceeds of a remarketing of 2024 Series B-2 Bonds in the Remarketing Proceeds Account in excess of the Purchase Price of such 2024 Series B-2 Bonds may be invested in Investment Securities in accordance with an Authority Request.

• The Company shall give the Entitled Shareholder a written notice of any such Proposed Issuance (“Issuance Notice”) specifying: (a) the number and class of Investment Securities proposed to be issued (“Issuance Shares”); (b) the price per Investment Security of the Proposed Issuance (“Issuance Price”); (c) the manner and time of payment of the subscription amount; and (d) the date of the Proposed Issuance.

• The Shareholders of the Company shall exercise their voting rights in respect of the Investment Securities of the Company in such manner so that each Shareholder is, at all times entitled to direct the exercise of such proportion of the voting rights of the Equity Shares of the Company, as represents its shareholding percentage in the Company on an as if converted and Fully Diluted Basis, (as applicable) considering all the Investment Securities in the Company.

• The Investors shall not be required to pledge their Investment Securities or provide any support to any Third Party, including but not limited to lenders of the Company.

Investment Securities means and includes any of the following securities, if and to the extent the same are at the time legal for investment of the Authority’s funds:

Investment Securities means any of the following obligations or securities on which neither the Company, any other obligor on the Securities nor any Affiliate of either is the obligor: (a) Government Obligations; (b) interest bearing deposit accounts (which may be represented by certificates of deposit) in any national or state bank (which may include the Trustee or any Paying Agent) or savings and loan association which has outstanding securities rated by a nationally recognized rating organization in either of the two (2) highest rating categories (without regard to modifiers) for short term securities or in any of the three (3) highest rating categories (without regard to modifiers) for long term securities; (c) bankers' acceptances drawn on and accepted by any commercial bank (which may include the Trustee or any Paying Agent) which has outstanding securities rated by a nationally recognized rating organization in either of the two (2) highest rating categories (without regard to modifiers) for short term securities or in any of the three (3) highest rating categories (without regard to modifiers) for long term securities; (d) direct obligations of, or obligations the principal of and interest on which are unconditionally guaranteed by, any State or Territory of the United States or the District of Columbia, or any political subdivision of any of the foregoing, which are rated by a nationally recognized rating organization in either of the two (2) highest rating categories (without regard to modifiers) for short term securities or in any of the three (3) highest rating categories (without regard to modifiers) for long term securities; (e) bonds or other obligations of any agency or instrumentality of the United States; (f) corporate debt securities which are rated by a nationally recognized rating organization in either of the two (2) highest rating categories (without regard to modifiers) for short term securities or in any of the three (3) highest rating categories (without regard to modifiers) for long term securities; (g) repurchase agreements with respect to any of the foregoing obligations or securities with any banking or financial institution (which may include the Trustee or any Paying Agent) which has outstanding securities rated by a nationally recognized rating organization in either of the two (2) highest rating categories (without regard to modifiers) for short term securities or in any of the three (3) highest rating categories (without regard to modifiers) f...

Investment Securities means marketable obligations in the form of bonds, notes, or debentures which have been publicly offered, are of sound value, or are secured so as to be readily marketable at a fair value, and are within the four highest grades according to a reputable rating service or represent unrated issues of equivalent value. “Investment securities” does not include investments which are predominately speculative in nature.

Investment Securities means all investment securities of the relevant Person permitted to be held by the relevant Person under Law.

Investment Securities means those authorized investments described in the Public Funds Investment Act, Chapter 2256, Government Code, as amended, which investments are, at the time made, included in and authorized by the City's official investment policy as approved by the City Council from time to time.

Investment Securities means such investments as shall be legal investments for such funds under Idaho law as then in effect.
