Landlord Affiliate definition

Landlord Affiliate means, as to Landlord, any Person that, directly or indirectly, is in control of, is controlled by or is under common control with Landlord. For purposes of this definition, the terms “control” and “controlled” shall mean the power to direct the management and policies of an entity, directly or indirectly, whether through the ownership of voting securities or other beneficial interests, by contract or otherwise.

Landlord Affiliate means any person, corporation, partnership, limited liability company, trust, or other legal entity that, directly or indirectly, controls, or is controlled by, or is under common control with Landlord. “Control” (and the correlative meanings of the terms “controlled by” and “under common control with”) means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such entity.

Landlord Affiliate means any entity which controls, is controlled by or is under the common control of Landlord.

• Landlord shall have the right to assign this Lease to an entity comprised of the principals of Landlord or any Landlord Affiliate.

• Tenant acknowledges that Landlord (or a Landlord Affiliate) has elected and may hereafter elect to be taxed as a real estate investment trust (“REIT”) under the Internal Revenue Code.
