If at least one of the Parties is not US-based, in the event of any controversy or claim arising out of or relating to this Agreement, or the breach thereof, the Parties agree to endeavor first to settle the dispute by mediation administered by the International Centre for Dispute Resolution under its Mediation Rules.
If a dispute cannot be settled within a period of thirty (30) calendar days with the mediator, if mutually agreed, the dispute shall be referred to arbitration in the Portland USA&M office in accordance with the applicable United States Arbitration and Mediation Rules of Arbitration.
