Members and employees of the Sub-Adviser may be trustees, officers or employees of the Trust.
The arbitration shall be conducted in New York County, New York at the offices of AAA with three arbitrators, one of which shall be selected by the Member requesting arbitration, one of which shall be selected by the Member on the other side of the controversy and one of which shall be selected by all the Members together; provided that if the Members cannot agree upon a third arbitrator, such third neutral arbitrator shall be chosen according to the Commercial Arbitration Rules of AAA.

Subject to Section 7.10, the Co-Managing Members shall cause the Company to make distributions of available Net Cash Flow to the Co-Managing Members only at such times and in such amounts as the Co-Managing Members shall unanimously agree.
In the event of any and all deadlocks, disputes, controversies or claims of whatever nature arising out of, related to, in connection with or as a result of this Agreement, or the breach hereof (individually and collectively, a “Dispute”), the Members shall first endeavor to resolve the same by good faith negotiations.
