Net Share Amount definition

Net Share Amount has the meaning set forth in Section 3.03(c).

Net Share Amount. For any Exercise Date, a number of Shares, as calculated by the Calculation Agent, equal to (x) the product of (i) the number of Warrants being exercised or deemed exercised on such Exercise Date, (ii) the Warrant Entitlement and (iii) the excess, if any, of the Relevant Price for the Valuation Date occurring on such Exercise Date over the Strike Price (such product, the “Net Share Settlement Amount”), divided by (y) such Relevant Price.

Net Share Amount. The Option Cash Settlement Amount divided by the Settlement Price, each determined as if Cash Settlement applied.

Examples of Net Share Amount in a sentence

• If the Company does not give any notice within the time periods described as to how it intends to settle, it will satisfy its obligation to deliver the Net Share Amount only in shares of Common Stock (and cash in lieu of fractional shares in the manner set forth in Section 4.04).

• The Company will inform the Holders through the Trustee if it chooses to satisfy its obligation to deliver the Net Share Amount upon conversion with additional cash no later than two Trading Days following the Conversion Date.

• For Holders converting on any Trading Day, the Company may choose to settle the Net Share Amount in cash and shares of Common Stock only and for Holders converting on another Trading Day, choose to settle exclusively in cash.

• Instead of delivering shares of Common Stock in satisfaction of the Company's obligation to deliver the Net Share Amount upon conversion of Notes, the Company may elect to deliver an additional amount of cash.

• The "OBSERVATION PERIOD" with respect to any Security converted means the 15 consecutive Trading-Day period beginning on and including the third Trading Day after a Holder delivers a conversion notice to the Conversion Agent or, if the Company has elected to pay the Net Share Amount in cash, the Trading Day after the last day of the Conversion Retraction Period.

Net Share Amount means the number of shares of Common Stock calculated by the following formula:

Net Share Amount means for each Warrant exercised as to which Net Share Settlement is applicable, a fraction of a Common Share equal to (i) the Fair Value (as of the Exercise Date for such Warrant) of one Common Share minus the Exercise Price therefor divided by (ii) such Fair Value. The number of Common Shares issuable upon exercise, on the same Exercise Date, of Warrants as to which Net Share Settlement is applicable shall be aggregated for each Beneficial Owner or Warrantholder, as applicable, with any fractional Common Share rounded down to the nearest whole share as provided in Section 3.05. In no event shall the Company deliver a fractional Common Share in connection with an exercise of Warrants as to which Net Share Settlement is applicable.

Net Share Amount means for each 0000 Xxxxxxx and 2020 Warrant exercised as to which Net Share Settlement is applicable, a fraction of a Common Share equal to (i) the Fair Value (as of the Exercise Date for such Warrant) of one Common Share minus the 2019 Exercise Price or the 2020 Exercise Price, as applicable therefor divided by (ii) such Fair Value. The number of Common Shares issuable upon exercise, on the same Exercise Date, of Warrants as to which Net Share Settlement is applicable shall be aggregated, with any fractional Common Share rounded down to the nearest whole share as provided in Section 3.05. In no event shall the Company deliver a fractional Common Share in connection with an exercise of Warrants as to which Net Share Settlement is applicable.

Net Share Amount has the meaning specified in Section 12.14.
