Examples of Non-Income Tax in a sentence
IP shall provide to Spinco the information relating to the Spinco Business reflected on any IP Non-Income Tax Return with respect to which Spinco is required to make a payment pursuant to Section 2.01(a)) at least thirty (30) days prior to the Due Date for such Tax Return or, in the case of any such Tax Return filed on a monthly basis or property Tax Return, five (5) days.
The portion of any IP Non-Income Tax Return that reflects the Spinco Business shall (to the extent permitted by law) be prepared in a manner consistent with past practice.
If Resonance becomes liable to pay any Non- Income Tax imposed in connection with the Product then, in addition to the fees and any other amounts payable pursuant to this Agreement the Customer/Responsible Payer shall: (a) Pay to Resonance an amount equal to that Non-Income Tax; and (b) Make that payment at the same time and in the same manner as the Customer/Responsible Payer is required to pay the related fee or other amount payable pursuant to this Agreement.
The Party that is liable for any Non-Income Tax liability under Section 2.01 of this Agreement shall prepare and file (or shall cause the appropriate member of its Group to prepare and file) such Tax Return and any other Returns, documents, or statements required to be filed with the appropriate Taxing Authorities or other Persons with respect to the determination of such Non-Income Tax liability or otherwise.
The Parties shall use commercially reasonable efforts to minimize Non-Income Taxes and obtain any refund, return, rebate or the like of any Non-Income Tax, including by filing any necessary exemption or other similar forms, certificates or other similar documents, in each case, to the extent legally permissible.
