Note Holder Representative definition

Note Holder Representative means a Controlling Note Holder Representative or a Non-Controlling Note Holder Representative, as applicable.

Note Holder Representative means the representative appointed by the Directing Holder under the Lead Securitization PSA, and a representative appointed by a Non-Directing Holder under a related Non-Lead Servicing Agreement, as applicable, in connection with the exercise of its rights and obligations with respect to the Mortgage Loan (including any “directing certificateholder”, “controlling class representative” or similar person acting pursuant to the applicable PSA on behalf of the Directing Holder or the Non-Directing Holder, as the case may be).

Note Holder Representative means John Xxxcxxx Xxxe Insurance Company, and its successors and assigns.

Examples of Note Holder Representative in a sentence

• All actions that are permitted to be taken by the Controlling Note Holder under this Agreement may be taken by the Controlling Note Holder Representative acting on behalf of the Controlling Note Holder.

• When exercising its various rights under Section 5 and elsewhere in this Agreement, the Controlling Note Holder may, at its option, in each case, act through the Controlling Note Holder Representative.

• The Controlling Note Holder (or its Controlling Note Holder Representative) shall have the right (subject to the terms, conditions and limitations in the Lead Securitization Servicing Agreement) at any time and from time to time, with or without cause, to replace the Special Servicer then acting with respect to the Mortgage Loan and appoint a replacement Special Servicer in lieu thereof.

• Evidence to the satisfaction of the Board of the authority of the person claiming to exercise the right to vote shall be delivered to such place or one of such places (if any) as is specified in accordance with these Bye-laws for the deposit of instruments of proxy or, if no place is specified, at the Registration Office.

• The transferring Note Holder agrees that it shall pay the expenses of any non-transferring Note Holder (including all expenses of the Master Servicer, the Special Servicer, the Trustee and any Controlling Note Holder or Controlling Note Holder Representative) and all expenses relating to any Rating Agency Confirmation or Rating Agency Communication in connection with any such Transfer.

• WFM will also represent the Note Holders as the Note Holder Representative.
