Each such Conversion shall be effected by the Borrower by delivering a Conversion Request to the Administrative Agent at its Notice Office prior to 11:00 a.m. (New York City time) on the third Business Day prior to the proposed date of Conversion.
Except as otherwise specifically provided herein, all payments under this Agreement or any Note shall be made to the Lender not later than 2:00 p.m. (New York time) on the date when due and shall be made in Dollars in immediately available funds at the Notice Office of the Administrative Agent or such other office as the Administrative Agent may hereafter designate in writing.
With respect to each mandatory prepayment of Loans, the Borrower shall give the Administrative Agent prior to 12:00 Noon (New York time) at its Notice Office at least one Business Day’s prior written notice (including e-mail notice) of its intent to mandatorily prepay such Loans and the date and amount of such prepayment.
The effective date of this Agreement shall be the date on which the parties hereto have executed a counterpart of this Agreement and delivered same to the Administrative Agent at the Notice Office.
Upon at least three Business Days’ prior irrevocable written notice to the Administrative Agent at its Notice Office (which notice the Administrative Agent shall promptly transmit to each of the Lenders), the Borrowers shall have the right to terminate in whole the Total Commitment, provided that all outstanding Loans are contemporaneously prepaid in accordance with Section 2.09.
