Option Payments. Section 2.4(a)

• The Title Company receiving funds (as a clarification, all Option Payments made by GEC shall be directly paid to the City and not held in escrow or otherwise by the Title Company) as Closing agent is authorized and agrees by acceptance thereof to promptly deposit and hold the same (if in the form of cash) in an interest- bearing escrow account and to disburse the same subject to clearance thereof in accordance with the terms hereof.

• The Option to Purchase may be terminated by GEC at any time for any reason, but Option Payments theretofore paid shall not be refunded except as provided herein.

• If GEC terminates the Option to Purchase, it shall not be obligated to make any more Option Payments.

• Provided this Option Agreement has not been previously terminated in accordance with the terms and provisions herein, additional Option Payments of One Hundred Thousand and 00/100 Dollars ($100,000.00) each shall be made by GEC no later than the first (1st) anniversary of the Effective Date and each subsequent anniversary thereof, until exercise or expiration of the Option Term.

• For clarification purposes, Option Payments shall not be credited against the Purchase Price.
