The Optionor will indemnify the Optionee from and against any and all claims, damages, losses and costs arising from their representations and warranties in this Agreement being incorrect or breached.
The Optionor covenants and agrees with the Optionee that it will deliver the Financial Statements to the Optionee as soon as practicable but in any event no later than the Exercise Date.
To the knowledge of the Optionor, the transfer of the Additional Optioned Shares hereunder will not violate any Applicable Law, the constating documents of the Optionor or any contractual obligations of the Optionor.

The Optionor has all necessary corporate power and authority to own, lease or otherwise hold its properties and assets and to carry on its business as it is now being conducted and proposed to be conducted.
