The execution and delivery by the General Partner of the Partnership Agreement Amendment has been duly authorized by all requisite limited partnership action on the part of ETE, as the sole member of the general partner of the General Partner, and no further consent, approval or action is required by or from ETE, the board of directors of ETE’s general partner or ETE’s unitholders in connection with the transactions contemplated thereby.
On or prior to the initial Closing Date, the General Partner shall execute and deliver the Partnership Agreement Amendment, and the Partnership and UGI or its designated Affiliate shall execute and deliver the Registration Rights Agreement.
