Permitted Surviving Debt definition

Permitted Surviving Debt has the meaning specified in the definition of the “Transactions.”

  • The Administrative Agent shall have received an executed notice of borrowing for the funding of the Term Loan Facility and reasonably satisfactory confirmation of arrangements for the repayment of and release of liens with respect to all existing third-party indebtedness for borrowed money of the Borrowers and the Acquired Business (except for Permitted Surviving Debt).
