Plan Assets definition

Plan Assets means “plan assets” within the meaning of the Plan Asset Regulations.

Plan Assets means assets of any (i) employee benefit plan (as defined in Section 3(3) of ERISA) subject to Title I of ERISA, (ii) plan (as defined in Section 4975(e)(1) of the Code) subject to Section 4975 of the Code, or (iii) governmental plan (as defined in Section 3(32) of ERISA) subject to federal, state or local laws, rules or regulations substantially similar to Title I of ERISA or Section 4975 of the Code.

Plan Assets means assets of a Plan within the meaning of section 29 C.F.R. section 2510.3-101 or similar law.

Examples of Plan Assets in a sentence

• Such Borrower will take such action as is reasonably necessary to ensure that such Borrower will not be deemed to hold Plan Assets at any time.

• Without the approval of all Lenders, no Borrower Party will take any action that would cause it to fail to qualify as an Operating Company, if it has qualified (or was previously intended to qualify) as such or otherwise cause its underlying assets to otherwise constitute Plan Assets.

• The underlying assets of each Borrower do not constitute Plan Assets.

• No Target Company holds Plan Assets or is subject to any federal, state, local, non-U.S. or other laws, rules or regulations that are substantially similar to the fiduciary responsibility or prohibited transaction provisions of Title I of ERISA and/or Section 4975 of the Code (“Similar Laws”).
