The Company covenants and agrees to use commercially reasonable efforts to: (i) prepare and file the Preliminary Qualification Prospectus and obtain a Preliminary Receipt therefor from the BCSC as soon as practicable; and (ii) promptly resolve all comments received or deficiencies raised by the Securities Commissions in respect of the Preliminary Qualification Prospectus as expeditiously as possible.
REGULATORY RELIEF The Company has applied for exemptive relief from the requirements contained in subsections 2.3(1) and 2.3(1.1) of NI 41-101, which prohibit the Company from: (i) filing its first amendment to the Preliminary Prospectus more than 90 days after the date of the Preliminary Receipt; and (ii) filing its Final Prospectus more than 90 days after the date of Preliminary Receipt, respectively.
On receipt of the Pass Book from the Account Office, the GDS, BPM will obtain the signature of the depositor on the back side of Saving Bank Preliminary Receipt and hand over the Pass Book to the depositor.
The Corporation will advise the Underwriters, promptly after receiving notice thereof, of the time when the Preliminary Prospectus, the Final Prospectus or any Supplementary Material has been filed and, as applicable, the Preliminary Receipt or the Final Receipt therefor has been obtained and will provide evidence reasonably satisfactory to the Underwriters of each such filing and copies of such receipts.
Such delivery of the Offering Documents shall be effected as soon as possible after receipt of the Preliminary Receipt and the Final Receipt, as applicable, but in any event on or before 9:00 a.m. (Toronto time) on the Business Day immediately following (or for delivery locations outside of Toronto, Montreal, Calgary, Vancouver or New York, before 9:00 am (local time) on the second Business Day immediately following) the receipt of the Preliminary Receipt or the Final Receipt, as applicable.
