Pricing Grid the pricing grid attached hereto as Annex A.
Pricing Grid means, with respect to the 2016 Revolving Loans and 2016 Revolving Facility Commitments, the table set forth below: Pricing Grid for 2016 Revolving Loans Net First Lien Leverage Ratio Applicable Margin for ABR Loans Applicable Margin for Eurocurrency Loans Greater than 1.35 to 1.00 1.75 % 2.75 % Less than or equal to 1.35 to 1.00 1.50 % 2.50 % Pricing Grid for 2016 Revolving Facility Commitments Net First Lien Leverage Ratio Applicable Commitment Fee Greater than 1.35 to 1.00 0.50 % Less than or equal to 1.35 to 1.00 0.375 % For the purposes of the Pricing Grid, changes in the Applicable Margin and Applicable Commitment Fee resulting from changes in the Net First Lien Leverage Ratio shall become effective on the date (the “Adjustment Date”) that is three Business Days after the date on which the relevant financial statements and certificate required by Section 5.04(c)(x)(iii) are delivered to the Administrative Agent pursuant to Section 5.04 for each fiscal quarter beginning with the first full fiscal quarter of the Borrower ended after the Closing Date, and shall remain in effect until the next change to be effected pursuant to this paragraph. If any financial statements or the certificate referred to in the preceding sentence are not delivered within the time periods specified in Section 5.04, then, at the option of the Administrative Agent or the Required Lenders, until the date that is three Business Days after the date on which such financial statements or such certificate, as applicable, are delivered, the pricing level that is one pricing level higher than the pricing level theretofore in effect shall apply as of the first Business Day after the date on which such financial statements or such certificate, as applicable, were to have been delivered but were not delivered. Each determination of the Net First Lien Leverage Ratio pursuant to the Pricing Grid shall be made in a manner consistent with the determination thereof pursuant to Section 6.11.

Examples of Pricing Grid in a sentence

  • Between October 1, 2006 and December 31, 2006, the Base Rate Margin shall be set at Level I, notwithstanding what the applicable Level might be based upon reference to the Margin Pricing Grid.

  • Each determination by the Bank of an interest rate on the Revolver Note or fee hereunder in accordance with the Pricing Grid shall, except in cases of manifest error, be final, conclusive and binding on the parties.

If the Total Leverage Ratio reported in any Compliance Certificate shall be determined to have been incorrectly reported and if correctly reported would have resulted in a higher Applicable Margin or Commitment Fee Percentage, then the Applicable Margin and Commitment Fee Percentage shall be retroactively adjusted to reflect the higher rate that would have been applicable had the Total Leverage Ratio been correctly reported in such Compliance Certificate and the additional amounts resulting therefrom shall be due and payable upon demand from the Administrative Agent or any Lender (the Borrower's obligations to pay such additional amounts shall survive the payment and performance of all other Obligations and the termination of this Agreement for a period of ninety (90) days following the occurrence thereof). For the avoidance of doubt, the Applicable Margin as in effect under the Existing Credit Agreement immediately prior to the Second Restatement Effective Date shall be applicable to all interest and commitment fees accruing prior to the Second Restatement Effective Date.
Pricing Grid means (i) prior to the Investment Grade Pricing Effective Date, the pricing grid set forth in the definition of “Leverage-Based Applicable Rate” and (ii) on and after the Investment Grade Pricing Effective Date, the pricing grid set forth in the definition of “Ratings-Based Applicable Rate”.
