Alloy shall invoice and collect payments from third parties for Print Advertising (“Print Revenues”) regardless of whether Agent, the Company or another Person was the procuring source of such revenues and shall pay to the Company twenty-five percent (25%) of the difference between Print Revenues less any third party commission costs incurred by Alloy and Print Costs (“Print Fees”).
For the avoidance of doubt, (i) no Print Fees shall be owed to Company for any Print Advertising placed on behalf of a third party unless and until such monies have been collected from such third party client by Alloy, but Alloy shall be responsible for paying associated Print Costs; and (ii) no Print Fees or Print Costs shall be owed to Company for any product integrations to the extent such product integrations were offered to a third party as a value added on component.
