Proprietary Databases definition

Proprietary Databases means any material non-public proprietary database or information repository that is owned by or licensed to the Company or any Subsidiary or with respect to which the Company or any Subsidiary is authorized or granted rights under or to.
Proprietary Databases means any material non-public proprietary database that is owned by Parent or any Subsidiary or that Parent or any Subsidiary is licensed, authorized or otherwise granted rights under or to, and that is used by Parent or any other Person to manufacture, develop, import, market, promote, advertise, offer for sale, sell, use and/or otherwise distribute a Product.
Proprietary Databases means any material non-public proprietary database or information repository that is owned by any Loan Party or any Subsidiary or that any Loan Party or any Subsidiary is licensed, authorized or otherwise granted rights under or to.

Examples of Proprietary Databases in a sentence

  • If any amounts are needed ------------------------------------ for disbursement from any Account held by or on behalf of the Trustee and sufficient uninvested funds are not available to make such disbursement, the Trustee shall cause to be sold or otherwise converted to cash a sufficient amount of the investments in such Account.

  • With the exception of the escrow agent under any Escrow Agreement and other than outsourcing to third parties in the ordinary course of business for development, manufacturing and distribution projects, the Loan Parties shall not permit any vendor or other third party to gain control over, or possession of, its most current Proprietary Databases and Proprietary Software and shall maintain such Proprietary Databases and Proprietary Software at all times in accordance with the Escrow Agreement.

  • Section 3.9(c) of the Disclosure Schedules contains a list of all Proprietary Software and Proprietary Databases and Open Source Software used therein.

  • As of the Closing Date, none of the Material IP Rights owned by any of the Loan Parties or any of its Subsidiaries is subject to any licensing agreement (other than licenses to customers to use the Proprietary Software and Proprietary Databases in the ordinary course of business) or similar arrangement except as set forth on Part A of Schedule 6.17.


More Definitions of Proprietary Databases

Proprietary Databases means all proprietary databases and data compilations (including the database known as the “Counter Threat Platform Very Large Database”) and all documentation relating to the foregoing owned by Parent and used exclusively in the Spyglass Business.
Proprietary Databases means any material non-public proprietary database that is owned by the Issuer or any Subsidiary or that the Issuer or any Subsidiary is licensed, authorized or otherwise granted rights under or to, and that is used by the Issuer or any other Person to manufacture, develop, import, market, promote, advertise, offer for sale, sell, use and/or otherwise distribute or provide a Product or Service.

Related to Proprietary Databases

  • Proprietary Information shall have the same meaning as Confidential Information.

  • Trade Secrets means trade secrets, know-how and other confidential or proprietary technical, business and other information, including manufacturing and production processes and techniques, research and development information, technology, drawings, specifications, designs, plans, proposals, technical data, financial, marketing and business data, pricing and cost information, business and marketing plans, customer and supplier lists and information, and all rights in any jurisdiction to limit the use or disclosure thereof.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Customer Information means any information contained on a customer’s application or other form and all nonpublic personal information about a customer that a Party receives from the other Party. Customer Information shall include, but not be limited to, name, address, telephone number, social security number, health information, and personal financial information (which may include a Masterworks user account number).
