The Purchased Common Units shall have those rights, preferences, privileges and restrictions governing the Common Units as set forth in the Company Organizational Document.
Neither the execution of this Agreement nor the issuance of the Purchased Common Units as contemplated by this Agreement gives rise to any rights for or relating to the registration of any securities of the Company, other than pursuant to the Registration Rights Agreement.
Except as contemplated by this Agreement, no approval by the Unitholders is required as a result of the Company’s issuance and sale of the Purchased Common Units.
Notwithstanding the foregoing, the Company shall not, and shall cause its directors, officers and Affiliates not to, sell, offer for sale or solicit offers to buy any security (as defined in the Securities Act) that would be integrated with the sale of the Purchased Common Units in a manner that would require the registration under the Securities Act of the sale of the Purchased Common Units to the Purchasers.
The Company agrees that it will indemnify and hold harmless each of the Purchasers from and against any and all claims, demands or liabilities for broker’s, finder’s, placement or other similar fees or commissions incurred by the Company or alleged to have been incurred by the Company in connection with the sale of Purchased Common Units or the consummation of the transactions contemplated by this Agreement.
