Servicing Collateral definition

Servicing Collateral has the meaning specified in Section 2.01(h).

Servicing Collateral means the Collateral described in Sections 4.1(e) and 4.1(f) and all Collateral described in Sections 4.1(h), 4.1(i), 4.1(j) and 4.1(l) that constitutes proceeds of or is related to that Collateral.

Servicing Collateral means the "Collateral" as such term is defined in the Servicing Security Agreement.

Examples of Servicing Collateral in a sentence

• In the event either Agent receives such a notice, it shall give notice thereof to the other Agent, the Lenders, the Borrower, the Warehouse Collateral Agent and the Servicing Collateral Agent.

• For purposes of the limitations set forth in Exhibit H hereto, Swingline Advances made against Eligible Loans or Other Eligible Assets shall be deemed to be Warehousing Advances, and Swingline Advances against Servicing Collateral shall be deemed to be Term Loan Advances.

• Servicing Collateral - as defined in Section 5.4 of the Agreement.

• Neither of the Agents shall be deemed to have knowledge or notice of the occurrence of any Potential Default or Event of Default unless it has received notice from the other Agent, a Lender, the Borrower, the Warehouse Collateral Agent or 87 the Servicing Collateral Agent referring to the Loan Documents, describing such Potential Default or Event of Default, and stating that such notice is a "Notice of Default".

• Based upon the representations and warranties of the Servicer and the Secured Party set forth in this Agreement, and subject to the terms and conditions stated herein, Xxxxxxx Mac consents to the grant by the Servicer of the Servicing Security Interest in the Servicing Collateral, but does not consent to the grant of any other security interest in collateral not included in the Servicing Collateral.

• If the Borrower fails to pay any Taxes when due to the appropriate taxing authority or fails to remit to the Administrative Agent the required receipts or other required documentary evidence, the Borrower shall indemnify, as applicable, the Administrative Agent, the Servicing Collateral Agent and the Lenders for any incremental taxes, interest or penalties that may become payable by the Administrative Agent, the Servicing Collateral Agent or any Lender as a result of any such failure.

• The Servicer and the Secured Party (to the extent that the Secured Party may directly or indirectly be in possession or control of any of the Servicing Collateral or any documentation, agreements, data, information or proceeds related in any way to the Servicing Collateral or the Servicing Contract) each covenants that it will cooperate with Xxxxxxx Mac in all respects in connection with any termination of, or transfer or sale of, the Servicing Contract by Xxxxxxx Mac.

Servicing Collateral which means rights to service (and be compensated for servicing) 1-to-4 family residential Mortgage Loans pursuant to Approved Servicing Agreements, which Servicing Rights are owned by a Company and duly Pledged to the Agent;

Servicing Collateral has the meaning specified in Section 2.01(i). ‘‘Subordinated Creditors’’ means, at any time, the holders and owners of Subordinated Obligations. ‘‘Subordinated Obligations’’ means (a) with respect to the Secured Service Provider Obligations and Secured Credit Facility Obligations that constitute Expenses, all other Obligations and (b) with respect to any other Secured Obligations, all Obligations as to which the payment of such Secured Obligation constitutes a Prior Ranking Amount. ‘‘Subordinated Representative’’ means, at any time, any trustee or representative of any holders or owners (or, in the absence of any such person, such holders and owners) of any Secured Obligations other than the Senior Representative at such time. ‘‘UCC’’ means the Uniform Commercial Code as in effect on the date of determination in the State of New York; provided that if by reason of mandatory provisions of law, the perfection or the effect of perfection or non-perfection of the security interest in any Collateral is governed by the Uniform Commercial Code as in effect in a jurisdiction other than New York, ‘‘UCC’’ means the Uniform Commercial Code as in effect in such other jurisdiction for purposes of the provisions of this Agreement relating to such perfection or effect of perfection or non-perfection.
