Suspension Notice definition

Suspension Notice. As defined in Section 6(d) hereof.

Suspension Notice means a notice in writing served by the relevant party on the other party under paragraph 2 of Schedule 6;

• If the Company shall give any Suspension Notice pursuant to this paragraph, the Company shall not, during the Suspension Period, register any New Shares for either its own account or for the account of any other person.

• The Shareholder agrees not to effect any sales of Registrable Common Shares pursuant to the applicable Prospectus and Registration Statement (or any related filings) at any time after it has received a Suspension Notice from the Company and prior to receipt of an End of Suspension Notice.
