Swiss Borrower definition

Swiss Borrower means a Borrower incorporated, or for tax purposes resident, in Switzerland.

Swiss Borrower shall have the meaning given to such term in the opening paragraph of this Agreement;

Swiss Borrower means a Borrower incorporated in Switzerland and/or having its registered office in Switzerland and/or qualifying as a Swiss resident pursuant to Art. 9 of the Swiss Federal Withholding Tax Act.

• Neither the Swiss Borrower nor Parent has any reason to believe that any of the Swiss Borrower, Parent, or Ultimate Parent will be unable to satisfy on a timely basis any term or condition of the Equity Financings.

• The Swiss Borrower has delivered to the Purchasers a true, correct, and complete copy of the Equity Commitment Letter, which provides that each of the Purchasers is a third-party beneficiary thereof entitled to specific performance in accordance with its terms.

More Definitions of Swiss Borrower

Swiss Borrower means any Swiss Subsidiary that has been designated as such pursuant to Section 2.20 and that has not ceased to be a Swiss Borrower as provided in such Section.

Swiss Borrower means (i) MK Switzerland and (ii) any other Borrower incorporated in Switzerland and/or qualifying as a Swiss resident pursuant to Article 9 of the Swiss Federal Withholding Tax Act.

Swiss Borrower means any Borrower organized under the laws of Switzerland or, if different, deemed resident in Switzerland for Swiss Withholding Tax purposes.

Swiss Borrower means any Borrower incorporated in Switzerland and/or having a registered office in Switzerland (including a Swiss branch through which such Borrower is acting in relation to this Agreement) and/or qualifying as a Swiss resident pursuant to Art. 9 of the Swiss Federal Withholding Tax Act. For the avoidance of doubt, it is understood and agreed that Xxxxxxx-Xxxxxx International is a Swiss Borrower hereunder.

Swiss Borrower means Garrett Motion Sàrl.
