Target Distribution Amount definition

Target Distribution Amount for any Fiscal Year shall mean the Applicable Ratio multiplied by the full amount of the TWC Member’s Minimum Preferred Return for the Fiscal Year. The “Applicable Ratio” means the percentage representing the aggregate distributions made to Condor Member pursuant to Section 5.1.1(a) for the Fiscal Year divided by the full amount of the Condor Member’s Minimum Preferred Return for the Fiscal Year. For example, if the full amount of Condor Member’s Minimum Preferred Return for a Fiscal Year were $600,000.00 and the aggregate distributions to the Condor Member pursuant to Section 5.1.1(a) were $400,000.00, the Applicable Ratio would be 66.67%. If the full amount of the TWC Member’s Minimum Preferred Return for a Fiscal Year were $150,000.00, the Target Distribution Amount would be $100,000.00 (66.67% of $150,000.00), and if the actual distributions to TWC Member pursuant to Section 5.1.1(b) for the same Fiscal Year is zero (0), making the Available Cash Shortfall of TWC Member for that Fiscal Year $100,000.00.
Target Distribution Amount means an amount, determined from time to time, that would be required to pay an annual distribution at the rate of the Preferential Distribution per Common Unit on all Common Units then issued and outstanding, plus the amount of any accrued and unpaid Preferential Distribution Shortfall outstanding at such time with respect to all Common Units owned by the General Partner.
Target Distribution Amount means the target quarterly distribution amount determined and announced annually (starting in March 2018) by the Manager and initially being approximately $0.0887 per Class T Unit and $0.0775 per Class A Unit for the first four quarterly periods (subject to proration for the quarter in which the Closing Date occurs) ;

Examples of Target Distribution Amount in a sentence

  • There is no assurance that the Fund will be able to achieve its objectives or pay distributions equal to the Target Distribution Amount (as defined under “Distribution Policy”) or at all.

  • The initial Target Distribution Amount is: • $0.0050 per Class A Unit per month ($0.6 per annum representing an annual cash distribution of six (6%) percent based on the initial offering price of ten ($10.00) dollars per Class A Unit); and• $0.0058 per Class F Unit per month ($0.7 per annum representing an annual cash distribution of seven (7%) percent based on the initial offering price of ten ($10.00) dollars per Class F Unit).

  • There is no assurance that the Fund will be able to achieve its objectives or pay distributions equal to the Target Distribution Amount or at all.

  • See ‘‘Investment Strategy’’.The Fund will not have a fixed monthly distribution amount, but will at least annually (commencing in July 2012) determine and announce a target monthly distribution amount (the ‘‘Target Distribution Amount’’) based upon prevailing market conditions and the estimate by the Manager (as defined below) of distributable cash flow for the period to which such Target Distribution Amount pertains.


More Definitions of Target Distribution Amount

Target Distribution Amount has the meaning set forth in Section 5.1(b).
Target Distribution Amount means an amount equal to $500,000,000.00.

The Target Distribution Amount will increase on each anniversary of the First Test Date in the amount equal to the aggregate Yield accrued on the Class A Units during the immediately preceding Target Year.
