Terminated Countries definition

Terminated Countries shall have the meaning provided in Section 9.2(e).

Terminated Countries means those Jurisdictions in the Territory for which Alpharma’s rights to develop and Commercialize the Product have been terminated in accordance with Sections 4.2(c) or 4.3(d).

  • SGI shall have the right to purchase from MPI, [***], all or part of the inventory of the Licensed Product held by MPI for the Terminated Countries as of the effective date of such termination of this Agreement.

  • It is understood that the Terminating Party shall receive royalties with respect to the terminated product in the Terminated Countries to the extent provided in Section 19.4.4(c) below.

  • Any Product subject to such termination as it exists at the time of such termination shall be deemed a “Terminated Product.” If FivePrime terminates this Agreement in its entirety, all Products will be deemed Terminated Products and all countries will be deemed Terminated Countries.

  • All payment obligations with respect to the Terminated Products in the Terminated Countries hereunder will terminate, other than those that are accrued and unpaid as of the effective date of such termination.

  • For purposes of the foregoing, if the Terminating Party terminates this Agreement with respect to: (i) the United States, then all of the countries within North America shall be deemed Terminated Countries; or (ii) Japan, then all of the countries within East Asia shall be deemed Terminated Countries.

Related to Terminated Countries

  • Designated country means any of the following countries:

  • Selected Countries the jurisdictions listed on Appendix C as such may be amended from time to time in accordance with Article II.

  • Designated country end product means a WTO GPA country end product, a Free Trade Agreement country end product, a least developed country end product, or a Caribbean Basin country end product.

  • Nondesignated country end product means any end product that is not a U.S.-made end product or a designated country end product.

  • Restricted Countries shall have the meaning given to it in Clause 26.5.3 (Protection of Personal Data);

  • Nondesignated country means a country other than the United States or a designated country. "Recovery Act designated country" means any of the following countries:

  • associated country means a third country which is party to an international agreement with the Community, under the terms or on the basis of which it makes a financial contribution to all or part of the Seventh Framework Programme;

  • third countries means any State or territory to which the Treaties are not applicable;

  • Major Countries means Canada, France, Germany, Italy, Japan, Spain, United Kingdom and the United States.

  • Permitted Country means any country listed on Schedule 4 to the Participation Agreement.

  • Restricted Country means a country, territory or jurisdiction outside of the European Economic Area which the EU Commission has not deemed to provide adequate protection in accordance with Article 25(6) of the DP Directive and/ or Article 45(1) of the GDPR (as applicable);

  • Terminated Product has the meaning set forth in Section 18.3.4.2(v).

  • Affected county means a county of 3,000,000 or more

  • Least developed country end product means an article that—

  • Recovery Act designated country means any of the following countries:

  • Service Territory means the geographic area within which PG&E as a Utility Distribution Company is authorized and required to provide electric transmission and distribution service.

  • third country means a country that is not member of the Union;

  • Restricted Territories means: (i) Cuba, Sudan, Iran, North Korea, Syria and the territory of Crimea / Sevastopol; and (ii) any other country or territory that is subject to sanctions by the United Kingdom, the European Union, the U.S, United Nations or elsewhere.

  • Specified Country means each country listed on Schedule II attached hereto and each country, other than the United States, constituting the primary market for a security with respect to which the Funds has given settlement instructions to The Bank of New York as custodian (the “Custodian”) under its Custody Agreement with the Funds.

  • Major Market Countries means the United States, Japan, England, Germany, France, Italy and Spain.

  • Competing Product means [***].

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.

  • Participating Countries means, collectively, all such countries.”

  • Eligible Countries means: (a) in the case of the African Development Bank and the Nigeria trust Fund, the Member Countries of the African Development Bank.

  • non-IOM country means a country that is not the Isle of Man;

  • Least developed country means any of the following countries: Afghanistan, Angola, Bangladesh, Benin, Bhutan, Burkina Faso, Burundi, Cambodia, Central African Republic, Chad, Comoros, Democratic Republic of Congo, Djibouti, Equatorial Guinea, Eritrea, Ethiopia, Gambia, Guinea, Guinea-Bissau, Haiti, Kiribati, Laos, Lesotho, Liberia, Madagascar, Malawi, Mali, Mauritania, Mozambique, Nepal, Niger, Rwanda, Samoa, Sao Tome and Principe, Senegal, Sierra Leone, Solomon Islands, Somalia, South Sudan, Tanzania, Timor-Leste, Togo, Tuvalu, Uganda, Vanuatu, Yemen, or Zambia.
