Effective as of the Third Amendment Effective Date, the Existing Credit Agreement is hereby amended and restated in its entirety to delete the stricken text (indicated textually in the same manner as the following example: stricken text) and to add the double-underlined text (indicated textually in the same manner as the following example: double-underlined text) as set forth in the conformed copy of the Credit Agreement attached as Annex B hereto (the “Amended Credit Agreement”).
The undersigned institution hereby makes the election to convert all of its Existing Term Loans as set forth in the Register (as defined in the Existing Credit Agreement) as of the Third Amendment Effective Date (or such lesser amount as the Arranger may allocate prior to the Third Amendment Effective Date) into Continued Term Loans pursuant to a cashless conversion on the Third Amendment Effective Date pursuant to procedures specified by the Administrative Agent.
By executing this Lender Addendum as a Continuing Term Lender, the undersigned institution agrees (A) to the terms of the Third Amendment and the Amended Credit Agreement and (B) on the terms and subject to the conditions set forth in the Third Amendment and the Amended Credit Agreement, to continue all of its Existing Term Loans (or such lesser amount as the Arranger may allocate) as Continued Term Loans on the Third Amendment Effective Date.
The obligation of each Term A Lender to honor any Request for Credit Extension under its applicable Term A Commitment on the Third Amendment Effective Date is subject to the conditions precedent set forth in Section 2 of the 2022 Pro Rata Facilities Amendment.
